These Terms of Service ("Terms") govern your access to and use of NearField, including the NearField website, licensing portal, downloadable applications, browser client, updates, documentation, and related services (collectively, the "Service"). By downloading, installing, purchasing, activating, or using NearField, you agree to these Terms.
If you are using NearField on behalf of a company, venue, production, broadcaster, church, or other organization, you represent that you have authority to accept these Terms for that organization.
1. NearField Is Production Software, Not A Hosted Relay
NearField is designed for low-latency monitoring, communications, and transport validation across networks that you control. NearField does not currently provide a hosted relay, managed VPN, managed internet path, emergency communications service, or guaranteed availability service. You are responsible for your network, firewall, VPN, routing, bandwidth, audio/video devices, and operational decisions.
2. License And Subscription
NearField is licensed, not sold. Subject to these Terms and your active subscription or valid license, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use NearField for your internal production, testing, monitoring, and communications workflows.
Unless otherwise stated at checkout or in writing, each paid subscription includes the number of device seats shown in the licensing portal. Device seats may be activated, deactivated, and managed through the NearField Licensing Portal. You may not share, resell, sublicense, lease, or otherwise provide your license key to unrelated third parties.
3. Demo Mode And Trials
NearField may offer Demo Mode, trial keys, beta access, or other limited evaluation features. Demo Mode or trial access may limit functionality, session duration, update access, support, or other capabilities. Evaluation access may be modified or discontinued at any time.
4. Payments, Billing, Cancellation, And Refunds
Payments and subscription management are processed by Paddle, our merchant of record and payment provider. Paddle may present additional checkout, tax, billing, refund, and cancellation terms. You are responsible for maintaining accurate billing information and for any taxes, fees, or charges associated with your purchase.
You may manage billing through the Paddle billing portal link provided in the NearField Licensing Portal when available. If payment fails, a subscription expires, or access is revoked, NearField may limit or disable licensed functionality. We may provide a short grace period for payment or expiration issues, but revoked licenses are not eligible for grace unless we expressly say otherwise.
5. Updates, Compatibility, And Beta Releases
NearField may check for updates and offer main and beta release channels. It is strongly recommended that server and client devices run the same NearField release. Beta releases may include unfinished features, bugs, regressions, or compatibility changes and should be tested before use in critical production.
6. Your Responsibilities
You agree that you will not:
- Use NearField in violation of applicable law or third-party rights.
- Attempt to bypass licensing, seat limits, update checks, or security controls.
- Reverse engineer NearField except where applicable law expressly allows it.
- Use NearField to transmit content you do not have the right to transmit.
- Use NearField for safety-critical, emergency, medical, life-support, or legally mandated communications.
- Interfere with NearField infrastructure, licensing services, update services, portals, or other users.
7. Professional Judgment And Production Risk
NearField provides monitoring and transport tools, but it does not replace professional engineering judgment. You are responsible for validating latency, sync, routing, loudness, levels, redundancy, backup paths, and compliance requirements before relying on NearField in a live production.
8. Third-Party Components And Services
NearField may interoperate with or include notices for third-party technologies and services, including Firebase, Paddle, Resend, Apple platform services, FFmpeg, SRT, Opus, WebRTC, and optional user-installed NDI® runtime components. Third-party services and components may be governed by their own terms and licenses.
NearField distribution builds are designed to use LGPL/non-GPL FFmpeg media tools. NearField does not
bundle NDI Tools, the NDI SDK, or libndi.dylib; users install any NDI® runtime separately
after accepting Vizrt NDI AB's terms. NDI® is a registered trademark of Vizrt NDI AB.
9. Ownership
NearField, including its software, website, branding, design, documentation, and related materials, is protected by intellectual property laws. Except for the limited license granted above, we retain all rights in NearField. You retain ownership of your content, configurations, audio/video sources, and production materials.
10. Privacy
Our Privacy Policy explains what information we collect and how we use it. By using NearField, you agree to the practices described in the Privacy Policy.
11. Disclaimers
NearField is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, latency performance, and uninterrupted operation.
12. Limitation Of Liability
To the maximum extent permitted by law, NearField and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost productions, transmission failures, network failures, or business interruption. To the maximum extent permitted by law, our total liability for any claim relating to NearField will not exceed the amount you paid for NearField during the three months before the event giving rise to the claim.
13. Termination
We may suspend or terminate access to NearField if you violate these Terms, misuse the Service, fail to pay required fees, attempt to bypass licensing, or create security, legal, or operational risk. You may stop using NearField at any time and may deactivate devices through the Licensing Portal where available.
14. Changes To These Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as posting the updated Terms on the website or surfacing notice in the app. Continued use of NearField after updated Terms become effective means you accept the updated Terms.
